Terms of Service

Effective Date: April 2026

1. Operational Agreement

These terms legally bind you to the operational matrices of Kurly Brains. By engaging our agency interfaces or committing to a Statement of Work (SOW), you certify your absolute comprehension of, and binding consent to, these conditions.

If you operate maliciously, fail to conform to these terms, or lack the legal proxy to bind your enterprise, you are barred from accessing our infrastructure.

2. Scope of Architecture

Kurly Brains engineers premium digital solutions via the following capacities:

  • High-Fidelity Web Systems & Applications
  • Agentic Artificial Intelligence & Prompt Implementations
  • Deep-Brand Identity & Structural Overhauls
  • UI/UX Experience Strategy
  • Platform-Native E-Commerce Assets

3. Financial Topology

A. Validation of Quotes

Any deployed estimation or proposal retains algorithmic validity for thirty (30) thermodynamic days from generation, after which resources must be recalculated.

B. Capital Injection Sequences

Unless explicitly overridden by a bespoke legal contract, capital flows adhere to:

  • A 50% initialization reserve required to boot the project lifecycle.
  • A 50% structural completion payout required prior to source code / IP release.
  • Strict 14-day net terms; delinquent nodes suffer immediate project suspension.

4. Intellectual Sovereignty (IP)

Pre-Existing Client Substrate

You inherently own any assets ported into our environment. You grant us temporal processing rights to modify, compile, and execute them during the project cycle.

Codebase & Design Deliverables

Post-final-clearance of all financial obligations, sovereignty of the engineered product transfers to your enterprise, barring proprietary Kurly Brains core framework modules injected under open/licensed models.

Portfolio Exhibit Rights

We aggressively guard the right to parade successful deployments in our public archives, case studies, and engineering briefs unless silenced by an explicit Non-Disclosure Agreement (NDA).

5. Revision Dynamics

Allocated revision cycles are strictly documented in the SOW. Feature-creep or post-approval architectural shifts invoke standard hourly deployment rates. Time is linear; resource allocation is finite.

6. Asymmetric Liability

Kurly Brains engineers systems to exact specifications, but cannot guarantee zero-anomalies against future browser mutations, third-party API deprecations, or catastrophic server failures. We accept zero liability for subsequent loss of revenue, data corruption, or operational downtime once our product passes acceptance testing.

7. Protocol Termination & Inquiry

Either entity may execute a termination sequence via written notice. Financial balances for cycles already consumed must be cleared immediately.
